1) The Platform
Darspath is an online platform that enables students and teachers ("Tutors”) to connect for online tutoring and
learning sessions, including one-to-one and group sessions.
Unless Darspath explicitly states otherwise in writing, Darspath is not a school or tutoring provider and is not a party to the
agreement between a Student and a Tutor. Tutors are independent providers.
2) Eligibility
You must be at least 18 years old to create an account and use the Platform, or the age of majority where you live.
If a Student is under 18, a parent or legal guardian must create/authorize the account and is responsible for the Student’s activity,
payments, and compliance with these Terms.
3) Accounts, Accuracy, and Security
You agree to:
- Provide accurate, complete information and keep it updated.
- Keep your login credentials confidential.
- Notify us promptly if you suspect unauthorized access.
You are responsible for all activity on your account.
4) Bookings and Session Rules
Students may book sessions with Tutors through the Platform. Tutors control their availability and (unless the Platform specifies
otherwise) their pricing and session policies, subject to these Terms.
You agree to:
- Join sessions on time.
- Behave respectfully and professionally.
- Use the Platform only for lawful purposes.
5) Payments, Fees, and Taxes
5.1 Payments
Payments for sessions are processed through third-party payment processors.
Your use of those services is subject to their respective terms, policies, and processing requirements.
5.2 Revenue Share and Platform Fees
For sessions booked and paid through the Platform, the total session price paid by the Student is allocated as follows:
- 70% to the Tutor as compensation for delivering the session.
- 30% retained by Darspath as the Platform service fee.
The Platform service fee covers access to the Platform, technology infrastructure, payment processing coordination, marketing,
administrative services, and operational support.
Darspath reserves the right to modify the revenue share structure or service fees at any time by updating the Platform or these Terms.
Any changes will apply prospectively.
5.3 Taxes
Tutors are responsible for reporting and paying any income taxes, self-employment taxes, VAT, GST, or other applicable taxes related
to amounts they receive through the Platform.
Students are responsible for any taxes applicable to their purchases unless applicable law requires Darspath to collect or remit such taxes.
6) Cancellations, Rescheduling, Refunds, No-Shows (Platform-Wide Policy)
6.1 Student cancellation and refund rules (time-based)
Refund eligibility is based on the scheduled session start time and the percentage of the session completed at the time the
cancellation is requested:
Cancellation before the session starts (including immediately before start)
If a Student cancels at any time before the session start time (including immediately before the start), the Student is eligible for
a 100% refund or 100% account credit (as determined by the Platform’s refund method in effect at the time).
Cancellation after the session starts but before 50% completion
If a Student cancels after the session has started and before 50% of the scheduled session duration has elapsed, the Student is
eligible for a partial refund/credit equal to the remaining percentage of the session that was not delivered. The portion of the
session already completed is not refundable.
Example: 60-minute session, student cancels at 20 minutes (33.33% completed) → refundable portion is 40 minutes
(66.67%).
Cancellation at or after 50% completion
If a Student cancels at or after 50% of the scheduled session duration has elapsed, the session is not refundable.
How completion is measured
"Completion” is measured by elapsed time from the scheduled start time to the cancellation request time, compared to the scheduled
duration of the session, unless Darspath determines (in its reasonable discretion) that a different measurement is needed due to
technical issues, session interruptions, or documented disputes.
Platform-wide control
This Section 6 (Cancellations, Rescheduling, Refunds, No-Shows) states the Platform-wide policy and controls over any Tutor-specific
cancellation or refund policy. Tutors may not impose stricter terms through the Platform.
6.2 Rescheduling
Rescheduling requests are treated as cancellations for refund purposes unless the Tutor accepts the reschedule within the Platform.
If rescheduled, no refund is issued because the session is moved rather than cancelled.
6.3 Tutor cancellations
If a Tutor cancels a session before it ends, the Student will be eligible for a refund or credit for the portion not delivered (and may
be eligible for a full refund/credit if the session did not occur). Repeated Tutor cancellations may result in account review, reduced
visibility, suspension, or removal.
6.4 No-shows
- Tutor no-show: Student is eligible for a full refund/credit.
- Student no-show: May be treated as non-refundable, unless Darspath determines otherwise (e.g., verified Platform
failure).
6.5 Technical issues
If technical issues materially prevent a session from being delivered, Darspath may issue a refund or credit (full or partial) based on
the portion not delivered, after reviewing the circumstances. Users are responsible for maintaining compatible devices, stable
internet, and required software.
6.6 Refund method and processing
Refunds may be issued to the original payment method or as Platform credit, depending on the payment processor, timing,
fraud/chargeback risk, and Platform policies in effect at the time. Third-party processor fees may be non-refundable where permitted
by the processor and applicable law.
7) Recording Policy
Sessions may be recorded only if the Student and Tutor agree in advance.
Users are responsible for:
- Obtaining any legally required consent for recording (laws vary by location).
- Using recordings only for lawful purposes and respecting privacy.
- Not sharing recordings without permission from all recorded parties, unless permitted by law.
Darspath may provide recording features or integrations, but Darspath is not responsible for whether a recording is lawful in a given
jurisdiction.
8) User Conduct and Prohibited Use
You agree not to:
- Harass, abuse, threaten, discriminate, or exploit others.
- Share illegal, infringing, or harmful content.
- Attempt unauthorized access, disrupt the Platform, or reverse engineer Platform systems.
- Use the Platform to facilitate unlawful activity.
Darspath may investigate and take action (including suspension/termination) if we believe you violated these Terms or created risk to
others.
9) Content and Intellectual Property
9.1 Your content
You retain ownership of content you submit (messages, files, profile information). You grant Darspath a worldwide, non-exclusive,
royalty-free license to host, store, reproduce, display, and process your content to operate, improve, and secure the Platform.
9.2 Platform IP
The Platform (software, design, branding, and materials) is owned by Darspath or its licensors and protected by intellectual property
laws. You may not copy, modify, distribute, sell, lease, or create derivative works from the Platform except as permitted by law or by
written permission from Darspath.
10) Third-Party Services
The Platform may use or integrate third-party services (including video, payments, analytics, or communication tools). Darspath is not
responsible for third-party services, including outages, data handling, or terms imposed by those providers.
11) Disclaimers
The Platform is provided "as is” and "as available.” Darspath does not guarantee uninterrupted access,
error-free operation, or that Tutors will meet any particular outcome.
Tutoring is educational and does not replace professional advice (medical, legal, financial, or other regulated services).
12) Limitation of Liability
To the maximum extent permitted by law:
- Darspath will not be liable for indirect, incidental, special, consequential, or punitive damages.
- Darspath’s total liability for any claim related to the Platform will not exceed the amount paid to Darspath in the previous 3 months
(if any), or $100, whichever is greater.
Some jurisdictions do not allow certain limitations; in those cases, the limitation applies to the fullest extent permitted by law.
13) Indemnification
You agree to defend, indemnify, and hold harmless Darspath and its operators from claims, damages, liabilities, losses, and expenses
(including reasonable legal fees) arising out of your use of the Platform, your content, your conduct, or your violation of these Terms.
14) Suspension and Termination
Darspath may suspend or terminate accounts and access to the Platform at any time if we believe:
- these Terms were violated,
- there is suspected fraud or misuse,
- continued access creates risk to users or Darspath, or
- required by law.
You may stop using the Platform at any time.
15) Changes to These Terms
We may update these Terms by posting the updated version on the Platform and updating the effective date. Your continued use after
changes means you accept the updated Terms.
16) Governing Law and Venue (Washington State)
These Terms are governed by the laws of the State of Washington, USA, without regard to conflict-of-law principles.
To the extent permitted by law, any dispute or claim will be brought in the state or federal courts located in Washington State, and you
consent to their jurisdiction.
